You should carefully read the following terms and conditions
before using aiSee. Unless you have a different license agreement signed
by AbsInt Angewandte Informatik GmbH your use of aiSee indicates your
acceptance of this license agreement and warranty. This document constitutes
a legally binding agreement between you and AbsInt Angewandte Informatik GmbH.
This limited non-exclusive non-transferable License Agreement
is between you (“Licensee”) and AbsInt Angewandte Informatik GmbH
(“AbsInt”), and pertains to the aiSee tool (“Software”),
including example graph specifications and documentation.
Authority to bind
You represent and warrant that you have actual authority and are
duly authorized to bind your principal or employer, if the Software has been acquired
for them, and that you have adequate legal capacity to enter into binding agreements
on behalf of yourself, or your principal or your employer.
Copyright and restrictions
- All intellectual property rights in the
Software are protected by German copyright laws, other applicable copyright
laws, and international treaty provisions. All rights are retained that are
not expressly granted. No title, property rights or copyright in the Software
or in any modifications to the Software shall pass to the Licensee under any
circumstances.
- Licensee may make a reasonable number of
backup copies of the Software solely for backup purposes. Licensee agrees not
to make nor to permit the making of copies of the Software (including its
documentation) except as authorized by this License Agreement or otherwise
authorized in writing by AbsInt. Licensee agrees not to distribute, sublicense
or copy any portion of the Software; modify or prepare derivative works from
the Software; or revise, reverse engineer, decompile or disassemble the
Software in whole or in part or permit any third party to do or attempt same.
The Licensee may not alter or remove any details of ownership, copyright,
trade mark or other property right connected with the Software.
- Licensee may use the Software for non-commercial purposes only.
Use of the Software, or any part thereof, or any software derived in whole
or in part therefrom may not include the following uses without prior written
agreement of AbsInt:
- Use of the Software sold as a service
- Use for commercial purposes
Note that any use by a company, government institution, or any other
non-academic institution is considered to be commercial use. A commercial user may use
the Software for evaluation purposes only. The evaluation period is limited to the
fixed-term of 30 days. For a commercial user all rights granted to the Licensee in
this agreement will be void after the end of the evaluation period, which is no later
than 30 days after the Licensee received the Software.
Limitation of liability
The Software is provided “as is”. AbsInt makes no warranty or
representation, either expressed or implied, with respect to the Software,
including its quality, performance, merchantability, or fitness for a particular
purpose. The entire risk as to the quality and performance of the Software is
with the Licensee.
Because software is inherently complex and may not be completely free
of errors, the Licensee is advised to verify his work and make backup copies where
appropriate. In no event will AbsInt be liable for any damages whatsoever including —
but not restricted to — lost revenue or profits or other direct, indirect,
special, incidental, cover, or consequential damages arising out of the use of or
inability to use the Software, even if advised of the possibility of such damages,
except to the extent invariable law, if any, provides otherwise.
Termination of this license
AbsInt may terminate this license at any time if Licensee is
in breach of any of its terms and conditions. Upon termination, Licensee will
immediately destroy the Software or return all copies of the Software to AbsInt.
Applicable law
This license shall be governed and interpreted in
accordance with the laws of Germany. Any disputes arising herefrom
shall be subject to the jurisdiction of appropriate courts of
Saarbrücken, Germany.
